On 12/06/2017, Vietnam officially promulgated the first regulations related to startup in Law on Providing assistance for small and medium-sized enterprises 2017. Accordingly, Vietnamese startup is officially called “Innovative startup enterprise”. It means that individual(s) and group(s) who want to start a startup must first establish an enterprise to be recognized as a startup and to benefit from startup policies.

However, majority of Vietnamese startups are facing legal difficulty in running an enterprise, especially when startup business is based on innovation. The novelty of products, technology and business models causing confusion for both startups and state agencies in carrying out procedures to establish enterprises in order to meet the legal regulations. In many cases, although some startups have been established, they are unable to operate due to failing to anticipate possible legal issues from arising which in turn caused them to fail to meet the legal requirements during establishment stage.

Therefore, predicting and planning legal issue(s) of each startup from the initial stage is extremely important, especially when the openness of the economy have led to the changes in policy.

Ngày 12/06/2017, Việt Nam chính thức ban hành những quy định đầu tiên liên quan đến startup tại Luật Hỗ trợ doanh nghiệp nhỏ và vừa 2017. Theo đó, startup Việt Nam chính thức được gọi với khái niệm “Doanh nghiệp khởi nghiệp sáng tạo”. Điều này đồng nghĩa với việc để được công nhận là startup và hưởng lợi từ các chính sách khởi nghiệp, cá nhân và nhóm cá nhân muốn khởi nghiệp sáng tạo trước hết phải thành lập doanh nghiệp.

Tuy nhiên, hiện nay, phần lớn startup Việt Nam vẫn còn gặp nhiều v​ấn đề pháp lý ​để vận hành một doanh nghiệp, đặc biệt, khi startup kinh doanh dựa trên hoạt động đổi mới sáng tạo. Sự mới mẻ trong sản phẩm, công nghệ và mô hình kinh doanh khiến các startup lẫn cơ quan nhà nước lúng túng trong việc thực hiện thủ tục ​pháp lý liên quan ​nhằm đáp ứng yêu cầu của pháp luật. Có nhiều trường hợp, mặc dù đã thành lập doanh nghiệp nhưng các startup vẫn chưa thể hoạt động, bởi trong quá trình thành lập doanh nghiệp, startup vẫn chưa lường trước các vấn đề pháp lý và chưa đáp ứng được các điều kiện luật định.

Vì vậy, việc dự đoán và hoạch định các vấn đề pháp lý ngay từ ban đầu đối với mỗi startup là vô cùng quan trọng, nhất là trong bối cảnh mở cửa thị trường dẫn đến nhiều thay đổi trong chính sách.
