Founding shareholders may not assign his ordinary shares to another whom is not a founding shareholder within a period of 03 years from the date of IC issues, except for the case that this matter is approved by GMS. In this case, the shareholder who wishes to transfer shares has not the rights to vote in such share transfer. Such restriction for founding shareholders shall be only applied to the numbers of shares registered to subscribe at the time of initial JSC registration and fully paid within 90 days from the issuing date of IC.
A member of LLC may only assign his capital contribution to another person after such capital contribution assignment has already been offered to other members with the equal condition but they have not purchased or not purchased in full within 30 days from the date of offer.
